These terms and conditions (“Terms”) shall apply to your access to, use of, and any purchases made through the gigiclozeau.com website (the “Site”). These Terms are subject to change at any time without prior written notice by GIGI CLOZEAU LLC (referred to herein as either “GIGI CLOZEAU,” “we,” “us” or “our”). The most recent version of these Terms shall be posted for your review at any time on the Site.

GIGI CLOZEAU may offer other promotions, such as sweepstakes or contests, that have their own terms of use or rules. If any portion of these Terms conflict with the special terms of use or rules for any such GIGI CLOZEAU promotion, the conflicting portion of the special terms or rules will govern for that specific promotion unless stated otherwise.

PURPOSE OF THE SITE

The purpose of the Site is to provide users with information on GIGI CLOZEAU products and services available for purchase on or through the Site.

GIGI CLOZEAU hereby grants you a revocable and nonexclusive right and license to use and access the Site (including any underlying software) in a manner that is consistent with these Terms and the Site’s intended purposes. GIGI CLOZEAU reserves the right to terminate this license for any or no reason and at any time without notice to you, including, but not limited to, for breach of any provision contained in these Terms.

In order to perform certain actions on the Site, you will need to set up an account with a user name and password. You are responsible for maintaining the confidentiality of your password and user name, and agree to notify GIGI CLOZEAU if your password is lost, stolen, disclosed to an unauthorized party, or otherwise may have been compromised. You are responsible for all activities that occur under your account. You may only set up one account, and must do so in your own name. You agree to immediately notify GIGI CLOZEAU at contact@gigiclozeau.com of any unauthorized use of your Site account or any other breach of security in relation to the Site known to you. If GIGI CLOZEAU suspends or terminates your account under these Terms, you acknowledge that all information and content associated with such account will no longer be available to you.

ORDERS

All orders are subject to our acceptance and availability of the applicable products, and items in your shopping bag are not reserved and may be purchased by other customers. To the extent permitted by law, we may also refuse to process and accept a transaction for any reason or refuse service to anyone at any time at our sole discretion. We will not be liable to you or any third party by reason of our withdrawing any merchandise from the Site or refusing to process a transaction or unwinding or suspending any transaction after processing has begun.

All orders and payments are subject to acceptance by GIGI CLOZEAU. After you place an order, you will receive an email from GIGI CLOZEAU confirming that we have received your order. Acceptance of your order will occur upon your receipt of another email from GIGI CLOZEAU containing a shipping confirmation, which may contain a tracking number and carrier information. If an item is on back order, we will send you an email to notify you, followed by another email when the items you requested are in stock and have been shipped. GIGI CLOZEAU reserves the right not to accept your order for any reason or no reason. GIGI CLOZEAU reserves the right to restrict multiple quantities of a product from being shipped to any one customer or postal address.

It is our responsibility to ship your accepted order to you at the address you provide when making the order, subject to the cancellation rights described in these Terms. You will be responsible for all associated shipping and handling charges. While we agree to use reasonable efforts to meet the shipping and delivery dates provided online, we shall not be responsible for any delays in shipments.

PRICING POLICY

Prices shown on the Site are in US Dollars and are exclusive of taxes. You will be responsible for the prices stated at the time of your transaction, as well as any: (i) sales, use, excise, and related taxes; and (ii) shipping and handling charges. Such shipping and handling charges and taxes will be communicated to you before you place an order and you are responsible for paying such shipping and handling charges and taxes. Any international orders may be subject to additional local taxes, import duties or other local requirements, for which you will be responsible. You agree to indemnify and hold GIGI CLOZEAU harmless from and against any liabilities, interest, penalties, or fees assessed against you or GIGI CLOZEAU arising from or related to your failure to pay any such taxes. All prices are subject to change at any time. GIGI CLOZEAU reserves the right to cancel any orders containing pricing errors, with no further obligations to you, even after your receipt of an order confirmation or shipping notice. GIGI CLOZEAU may, at its discretion, either contact you for instructions or cancel your order and notify you of such a cancellation.

PAYMENT

Payment can be made with Visa, MasterCard and American Express. You confirm that the credit/debit card that is being used is yours or that you have been specifically authorized by the owner of the credit/debit card to use it. All credit/debit cardholders are subject to validation checks and authorization by the card issuer. If the issuer of your payment card refuses to authorize payment to GIGI CLOZEAU, we will not be liable for any delay or non-delivery.

GIGI CLOZEAU is very concerned with safeguarding your information, but no method of transmission over the Internet, or method of electronic storage, is 100% secure. When you enter sensitive information, it is encrypted using secure socket layer technology (SSL).

RETURNS AND EXCHANGES

RECEIVING YOUR RMA

If you are not completely content with your GIGI CLOZEAU merchandise, a Returns Merchandise Authorization (RMA) number should be requested by sending GIGI CLOZEAU an email at contact@gigiclozeau.com, within 30 days of receiving your order. Please refer to our Returns & Exchanges policy for details on how to request an RMA.

RETURNING YOUR PURCHASE

Making a return for a refund: All returns must be shipped or postmarked within 30 days after you are issued an RMA. Please note that any refund does not include original shipping and handling charges or the cost to ship the merchandise back to GIGI CLOZEAU using our return shipping label, except in the case of an incorrect order or damage. You bear the risk of loss or damage during shipment (other than when returning non-conforming merchandise) and as such, you are advised to obtain appropriate insurance. Please refer to our Returns & Exchanges policy for further information.

EXCHANGES

Please note you can only exchange items for a different size and/or color based on stock availability. If you wish to exchange your item for an alternative product, we suggest that you return it and purchase the new item separately. If you are sending merchandise back to GIGI CLOZEAU for exchange, you are responsible for the shipping cost. If shipping within the continental United States, the exchanged item will be shipped to you free of charge, provided that subsequent exchanges after the first one will be the responsibility of the customer.

OUR POLICY

Items should be returned unused and undamaged in the GIGI CLOZEAU pouch. Returns that are damaged may not be accepted and may be returned to the customer.

REPEATED RETURNS

We offer a flexible returns policy to make your online shopping experience simple. However, we do monitor the number of returns made and may refuse to accept orders at our discretion if goods are returned repeatedly.

REPRESENTATIONS AND WARRANTIES; DISCLAIMERS; LIMITATIONS ON LIABILITY

BUYER’S REPRESENTATIONS AND WARRANTIES

You represent and warrant to us as follows: (i) that you have the right to enter any transaction contemplated for hereby without violating these Terms, any applicable law, rule, or regulation, and/or any agreement with, or rights of, any third party; (ii) that you will use the goods and services provided hereunder exactly as authorized and never in any way that would violate any applicable law or third party right of any kind; and (iii) that you are buying goods or services from the Site for solely your own use, and not for resale or export.

GIGI CLOZEAU DISCLAIMERS AND LIMITATION OF LIABILITY
You acknowledge that any opinions and recommendations contained on the Site are not necessarily those of GIGI CLOZEAU nor endorsed by GIGI CLOZEAU. ANY RELIANCE ON ANY OPINIONS OR RECOMMENDATIONS OFFERED ON THE SITE IS DONE AT YOUR RISK.

GIGI CLOZEAU is not responsible for any harm or damages of any kind that may occur to you due to any glitches, hacks, breaches or any other unauthorized access to GIGI CLOZEAU’s computer or network systems, including any GIGI CLOZEAU hardware or devices, that may or may not result in the disclosure of any personal information you provided to us.

GIGI CLOZEAU does not assume any liability or responsibility for your use of the Internet or the Site including, but not limited to, any change your computer or related systems may sustain as a result of accessing the Site.

YOUR USE OF THE SITE IS AT YOUR OWN RISK, INCLUDING YOUR PURCHASE AND USE OF ANY PRODUCTS OR SERVICES AVAILABLE ON OR THROUGH THE SITE.

GIGI CLOZEAU AND/OR ANY OTHER DISCLAIMING PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND (EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE) INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, SECURITY, COMPLETENESS, TIMELINESS, APPROPRIATENESS, ACCURACY, FITNESS FOR A PARTICULAR PURPOSE, FREEDOM FROM COMPUTER VIRUSES, TITLE, AND NON-INFRINGEMENT.

LIABILITY CAP

TO THE EXTENT PERMITTED BY LAW, UNDER NO CIRCUMSTANCES WILL THE COLLECTIVE OBLIGATION OR LIABILITY OF THE DISCLAIMING PARTIES UNDER THIS AGREEMENT EXCEED THE GREATER OF $100 USD OR THE AMOUNT OF THE PURCHASE PRICE YOU PAID ON THE SITE FOR ANY GOODS OR SERVICES.

INDEMNIFICATION

You agree to indemnify, defend and hold the Disclaiming Parties harmless from and against any and all claims, demands, losses, costs, damages, liabilities, judgments, awards, and expenses (including attorneys' fees, costs of defense, and direct, indirect, punitive, special, individual, consequential, or exemplary damages) that GIGI CLOZEAU or any of the Disclaiming Parties suffer in relation to, arising from, or for the purpose of avoiding, any claim or demand from a third party that relates to your use of the Site and/or any goods or services available on or through the Site, your breach of these Terms, the use of the Site by any person using your account, or any violation of an applicable law or regulation by you. Your indemnification obligation shall survive the termination of these Terms.

GOVERNING LAW AND FORUM

These Terms and your use of the Site will be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, applicable to agreements made and to be entirely performed within the Commonwealth of Pennsylvania, without resort to its conflict of law provisions. FORCE MAJEURE

We shall not be held responsible for delays or non-performance caused by activities or factors beyond our reasonable control, including without limitation, war, weather, strikes, floods, lockouts, fires, acts of God, terrorism, epidemics, pandemics, public health crisis and/or delivery, vendor, supplier, or other third party delays, non-performance, or failures of any kind.

NO WAIVER
Our failure to enforce any of our rights hereunder will not constitute a waiver of our right to make such enforcement in the future, subject to applicable law.

RESERVATION OF RIGHTS
GIGI CLOZEAU reserves the right, but has no obligation, to monitor use of the Site and/or any activities conducted through or in any way related to the Site. SEVERABILITY

SURVIVABILITY

The proprietary rights, disclaimer of warranties, representations made by you, indemnities, limitations of liability, and any other relevant language that is meant to remain in effect after this Agreement ends shall survive the termination of these Terms.

ENTIRE AGREEMENT

These Terms and any policies or operating rules posted by us on the Site constitute the entire agreement and understanding between you and us and control your use of the Site. These supersede any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any earlier versions of the Terms).

By providing GIGI CLOZEAU with your mobile phone number and requesting that we communicate information to you by text message, you expressly agree that we may communicate with you regarding any transaction shipping details generally by SMS, MMS or other forms of text message directed to your mobile device. Standard messaging, data, and other fees may be charged by your wireless service carrier. In the event that you provide GIGI CLOZEAU with a mobile phone number, you agree to promptly notify GIGI CLOZEAU of any changes or deactivations of that number to ensure that messages are not sent to the person that acquires your old number. You can opt-out of any GIGI CLOZEAU text message communications by replying “STOP” to any text message we send you.

By providing any personally identifiable information to us, you agree that we may communicate with you electronically regarding security, privacy, and administrative issues relating to your use of the Site. If we learn of a security system’s breach, we may attempt to notify you electronically by posting a notice on the Site or sending an email to you.
